Introduction and Acceptance

What these P2P Terms cover and how you accept them

This P2P Currency Swap Terms & Conditions ("P2P Terms") governs your use of the Peer-to-Peer Currency Swap feature ("P2P Feature") available within the Revve mobile application and web platform ("Revve", "the Platform"), operated by Linearsend Inc. ("Linearsend", "Revve", "we", "us", or "our").

These P2P Terms form part of, and must be read together with, the Revve General Terms of Service, Privacy Policy, and AML/KYC Policy. In the event of a conflict between these P2P Terms and the General Terms of Service specifically as it relates to the P2P Feature, these P2P Terms shall govern.

By activating, accessing, or using the P2P Feature, you ("User", "you") confirm that you have read, understood, and agree to be irrevocably bound by these P2P Terms. If you do not agree, you must not activate or use the P2P Feature.

Definitions

Key terms used throughout this policy

  • "Buyer" means a fully verified User who submits a bid to purchase currency placed for Sell by a Seller.
  • "Seller" means a fully verified User who places funds on the P2P order book for Sell.
  • "Order" means a Sell or Buy listing placed by a User on the P2P order book, including the amount, currency pair, and rate/terms specified by that User.
  • "Bid" means an offer submitted by a prospective Buyer against a Seller's Order, or by a prospective Seller against a Buyer's Order, specifying the amount and terms on which that User is willing to transact.
  • "Swap" or "P2P Swap" means the matched and executed exchange of funds between a Seller and a Buyer following acceptance of a Bid.
  • "Order Book" means the live listing environment within the P2P Feature where Orders and Bids are displayed to eligible Users.
  • "Tier Limit" means the applicable transaction, holding, or withdrawal limit assigned to a User's account based on their verification tier, as published from time to time within the Revve app.
  • "Regulatory Threshold" means any reporting, large transaction, or record-keeping threshold prescribed by FINTRAC, the Bank of Canada, or any other applicable regulator or law.

Eligibility and KYC Requirements

Who can access the P2P Feature

Access to the P2P Feature is restricted to Users who have completed full identity verification ("Full KYC") to Revve's standard, including but not limited to government-issued identification verification, proof of address, and any enhanced due diligence Revve deems necessary.

  • Users who have not completed Full KYC will not be able to view, place, bid on, or accept Orders on the P2P Feature.
  • Revve reserves the right to impose additional or enhanced verification requirements on any User before, during, or after use of the P2P Feature, including for specific transaction sizes, currency pairs, or risk profiles.
  • Revve reserves the right to refuse, suspend, or restrict access to the P2P Feature for any User at its sole discretion, including where a User's verification is incomplete, expired, or under review.
  • Users must be at least 18 years of age, and of legal age to contract in their jurisdiction of residence where that jurisdiction sets a higher minimum, in order to access or use the P2P Feature. Revve reserves the right to request proof of age as part of Full KYC and to suspend or deny P2P access where age cannot be verified.
  • Users must be legally permitted to transact in the relevant currencies under applicable law.

Placing Orders — Sell and Buy

How Sell and Buy positions are opened on the Order Book

Once a User has completed Full KYC and been granted access to the P2P Feature, that User may place funds on the Order Book for either:

  • Sell — offering a specified amount of currency for exchange, to be matched with a Buyer; or
  • Buy — offering to acquire a specified amount of currency, to be matched with a Seller.

All Orders are subject to minimum and maximum amount limits, available currency pairs, and rate parameters as published within the Revve app from time to time, and to the User's applicable Tier Limit.

By placing an Order, the User represents that the funds committed to that Order are lawfully owned or controlled by them, are not subject to any third-party claim, lien, or restriction, and are not derived from or connected to any unlawful activity.

Sell-side funds are not held or placed on hold at the point an Order is listed on the Order Book. Funds committed to a Sell Order are reserved by the Platform only upon the Seller's acceptance of a Bid, at which point the reserved funds become committed to the resulting Swap in accordance with Section 6.

  • Prior to acceptance of a Bid, a Seller retains full access to and control over the funds underlying an active Sell Order, subject to the Seller's applicable Tier Limit and any other restriction on the User's account.
  • Where a Seller's available balance is insufficient to cover a Sell Order at the point a Bid is accepted, the Platform will decline to reserve funds and the Swap will not be executed; the affected Bid will lapse and the Order may be adjusted or removed by the Seller.

All Sell Orders and Buy Orders automatically expire at 12:00 midnight GMT marking the end of the third day following the day on which the Order was opened, if not matched and executed before that time — guaranteeing every Order a minimum live period of 3 days from the time it was opened, regardless of the time of day at which it was opened. An expired Order is removed from the Order Book and the underlying funds are released back to the User's available balance without further action required.

Bidding Mechanism

How eligible Users bid on open Sell Orders

Funds placed for Sell shall be made available on the Order Book for bidding by any User who holds Full KYC status on the Platform.

  • Eligible Users may submit one or more Bids against an open Sell Order, specifying the amount and terms on which they are prepared to transact, subject to the Seller's published parameters and the Platform's rules.
  • A Bid does not constitute a binding transaction and creates no obligation on the Seller until it is expressly accepted and approved by the Seller in accordance with Section 6.
  • Revve may, at its discretion, apply automated controls to Bids, including minimum/maximum bid amounts, rate collars relative to prevailing market or platform reference rates, bid expiry windows, and limits on the number of concurrent Bids a User may hold.
  • A Bid may be withdrawn by the bidding User at any time prior to acceptance by the Seller, unless otherwise stated on the Platform at the time the Bid is placed.
  • A Bid automatically expires at 12:00 midnight GMT marking the end of the third day following the day on which it was submitted, if not accepted by the Seller before that time — guaranteeing every Bid a minimum live period of 3 days, regardless of the time of day it was submitted. An expired Bid is removed from the Order Book, and the underlying Order (if still active) remains open for other Bids until it too expires in accordance with Section 4.

Matching, Acceptance, and Execution of Swaps

How an accepted Bid becomes an executed Swap

The Seller retains sole discretion to review, approve, or decline any Bid received against their Sell Order. Revve does not guarantee that any Order will receive a Bid, or that any Bid will be accepted.

  • Where a Seller accepts and approves a Bid, the Platform will first reserve the matched funds from the Seller's available balance and then automatically execute the Swap by transferring the reserved funds to the Buyer.
  • The Swap is executed by the Platform's systems without further recourse, confirmation, or intervention by either the Seller or the Buyer once acceptance has been submitted.
  • Similarly, where a User has placed a Buy Order and a prospective Seller's Bid against it is accepted by that Buyer, the same automatic, non-recourse execution process shall apply.

Users acknowledge that acceptance of a Bid is a final and binding instruction to Revve to execute the Swap, and that execution will occur immediately or as near to immediately as is operationally possible following acceptance.

Finality of Swaps — No Reversal or Cancellation

Why executed Swaps can never be reversed

All P2P Swaps are final once executed. Once funds have been swapped between a Seller and a Buyer pursuant to Section 6, the transaction shall be irrevocable and final.

  • There shall be no right, facility, or option for either party to reverse, cancel, unwind, or dispute an already-executed Swap, save as expressly set out in Section 12 (Revve's Compliance and Risk Override Rights).
  • Revve shall have no obligation to intervene in, mediate, or reverse a completed Swap between Users, including in cases of User error, mistaken bid amounts, or a change of mind by either party.
  • Users are solely responsible for reviewing all Order and Bid details carefully before submitting a Bid or approving a Bid, as no cancellation will be available once a Swap has been executed.

Fees

How Revve charges for P2P Swaps

Revve shall have the right to charge fees for the use of the P2P Feature and for each executed Swap, at the rates, structures, and methods of calculation published on the Platform from time to time ("P2P Fees").

  • P2P Fees may vary by currency pair, transaction size, User tier, or other criteria determined by Revve.
  • Applicable P2P Fees will be clearly disclosed to the Buyer and Seller prior to acceptance of a Bid, and by proceeding with a Bid, an Order, or an acceptance, each User agrees to the applicable P2P Fees for that transaction.
  • Revve reserves the right to amend its P2P Fees from time to time, with such changes taking effect for transactions initiated after the change is published. Fees for transactions already executed will not be affected retroactively.

Tier Limits and Withdrawals

Limits that apply to withdrawing swapped funds

All withdrawals of funds following a Swap are subject to the withdrawal, transaction, and holding limits applicable to the User's verification tier ("Tier Limits"), as published and updated within the Revve app from time to time.

  • Users agree to be bound by their applicable Tier Limits and acknowledge that Revve may decline, delay, or stagger a withdrawal request that exceeds the User's current Tier Limit.
  • A User may be required to complete additional verification or move to a higher tier in order to withdraw amounts above their current Tier Limit.
  • Tier Limits may be amended by Revve from time to time for risk management, regulatory, or operational reasons, with notice provided in accordance with Section 16.

Regulatory Reporting and Compliance

Our AML/CFT and regulatory reporting obligations

Revve is committed to full compliance with applicable anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions obligations, including as a registered Money Services Business with FINTRAC and an authorized Payment Service Provider under the Bank of Canada, and equivalent obligations in other jurisdictions in which Revve operates.

  • All fund inflows, outflows, or withdrawals that meet or exceed applicable Regulatory Thresholds will be reported to the relevant regulator(s) as required by law, without recourse to, and without requiring further consent from, the User.
  • Users acknowledge and agree that Revve may be legally required to file suspicious transaction reports, large transaction reports, or other regulatory filings in connection with P2P activity, and that Revve is prohibited by law from disclosing to a User whether or not such a report has been filed.
  • Nothing in these P2P Terms limits or restricts Revve's obligations under applicable AML/CFT, sanctions, or other financial services law.

Source of Funds and Enhanced Due Diligence

When we may ask where your funds came from

Revve reserves the right, at its sole discretion, to request information or documentary evidence regarding the source of funds or source of wealth relating to any Order, Bid, or Swap, where it deems this necessary for risk management, AML/CFT compliance, or regulatory purposes.

  • Users agree to promptly provide any information or documentation requested under this Section, and acknowledge that failure or refusal to do so may result in delay, suspension, or cancellation of an Order, Bid, or pending Swap, and/or restriction of the User's account.
  • Revve may place a hold on funds pending the outcome of a source-of-funds review.

Revve's Compliance and Risk Override Rights

Exceptional circumstances where Revve can intervene

Notwithstanding Section 7 (Finality of Swaps), Revve reserves the right to decline, suspend, cancel, freeze, or reverse a Buy or Sell Order, a Bid, or — in exceptional and legally-required circumstances — funds connected to a Swap, where:

  • the terms of these P2P Terms or the Revve General Terms of Service have been breached by either party;
  • the transaction is reasonably suspected by Revve to be fraudulent, suspicious, connected to money laundering, terrorist financing, sanctions evasion, or other unlawful activity;
  • Revve is required to do so by a regulator, court, or other competent authority; or
  • Revve reasonably believes such action is necessary to protect the integrity of the Platform, other Users, or Revve itself.

Users acknowledge that the exercise of Revve's rights under this Section shall not give rise to any claim, liability, or entitlement to compensation against Revve, save as required by applicable law.

Prohibited Conduct

Activity that is not allowed on the P2P Feature

In using the P2P Feature, Users agree that they will not:

  • place Orders or Bids using funds that are not lawfully theirs, or on behalf of an undisclosed third party without Revve's prior written consent;
  • engage in wash trading, coordinated bidding, self-dealing, or any other conduct intended to artificially influence rates, liquidity, or the appearance of activity on the Order Book;
  • attempt to circumvent Tier Limits, KYC requirements, or Regulatory Thresholds by structuring transactions, using multiple accounts, or acting in concert with other Users;
  • use the P2P Feature for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion;
  • harass, threaten, or attempt to transact with other Users outside the Platform in connection with the P2P Feature.

Breach of this Section may result in immediate suspension or termination of P2P access and/or the User's Revve account, in addition to any other rights available to Revve under these P2P Terms, the General Terms of Service, or applicable law.

Risk Disclosure

Risks you should understand before using the P2P Feature

Users should read and understand the following risks before using the P2P Feature:

  • Counterparty matching risk: Revve does not guarantee that any Order will be matched, that a Bid will be received, or that a Bid will be accepted within any particular timeframe.
  • Rate/price risk: Rates on the P2P Order Book are determined by market participants (subject to any platform parameters) and may differ from prevailing market rates elsewhere; Users bear the risk of the rate at which their Order or Bid is matched.
  • Finality risk: as set out in Section 7, executed Swaps cannot be reversed or cancelled by Users under any circumstances.
  • Liquidity risk: Orders may remain unmatched for extended periods, or may expire, if there is insufficient counterparty interest.
  • Regulatory and account risk: transactions may be delayed, held, or reported as required by law, and access to funds is always subject to applicable Tier Limits.

Disclaimer of Warranties and Limitation of Liability

The limits of Revve's liability

The P2P Feature is provided on an "as available" basis. To the maximum extent permitted by applicable law, Revve makes no warranty, express or implied, regarding the availability, continuity, matching speed, or rate outcomes of the P2P Feature.

  • Revve acts solely as the operator of the technology platform that facilitates matching and execution of Swaps between Users; Revve is not a party to, and assumes no responsibility for, the underlying commercial arrangement between a Seller and a Buyer beyond execution of the Swap itself.
  • To the maximum extent permitted by applicable law, Revve's aggregate liability arising out of or in connection with the P2P Feature shall not exceed the total fees paid by the affected User to Revve in respect of the relevant transaction(s), except in cases of Revve's fraud, gross negligence, or wilful misconduct, or as otherwise required by applicable law.

Amendments to these P2P Terms

How and when we may update this policy

Revve may amend, update, or replace these P2P Terms from time to time to reflect changes in the P2P Feature, regulatory requirements, or operational practice.

  • Material changes will be notified to Users through the Revve app, email, or other reasonable means, with an effective date no less than 2 days from notification, save where a change is required immediately for legal or regulatory reasons.
  • Continued use of the P2P Feature after the effective date of an amendment constitutes acceptance of the amended P2P Terms.

Suspension and Termination of P2P Access

When P2P access can be suspended or ended

Revve may suspend or terminate a User's access to the P2P Feature at any time, with or without notice, where required for legal, regulatory, risk, or platform-integrity reasons, or upon breach of these P2P Terms.

  • Suspension or termination of P2P access does not affect a User's rights and obligations in respect of Swaps already executed prior to such suspension or termination.
  • A User may deactivate their own access to the P2P Feature at any time by written request, subject to settlement of any pending Orders, Bids, or Swaps.

Dispute Resolution

How disputes between Users are handled

Any dispute between Users arising from a P2P transaction should first be raised through Revve's in-app support channel. Revve may, at its discretion, review the transaction records to assist in resolving factual questions, but is under no obligation to reverse an executed Swap as set out in Section 7.

  • Any dispute between a User and Revve arising from or in connection with these P2P Terms shall be governed by the dispute resolution provisions of the Revve General Terms of Service.

Governing Law and Jurisdiction

The law that governs these P2P Terms

These P2P Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, save where mandatory local consumer protection or financial services law in a User's jurisdiction of residence requires otherwise.

General Provisions

Standard legal terms that apply throughout

  • Severability: if any provision of these P2P Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire agreement: these P2P Terms, together with the Revve General Terms of Service, Privacy Policy, and AML/KYC Policy, constitute the entire agreement between the User and Revve in respect of the P2P Feature.
  • No waiver: Revve's failure to enforce any provision of these P2P Terms shall not constitute a waiver of that provision.
  • Assignment: Users may not assign or transfer their rights or obligations under these P2P Terms; Revve may assign these P2P Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: notices to Revve regarding the P2P Feature should be directed to hello@revveme.com.

Confirming your agreement to these P2P Terms

By tapping "I Agree" or otherwise activating the P2P Feature within the Revve app, you confirm that you have read, understood, and agree to be bound by these P2P Terms, in addition to the Revve General Terms of Service, Privacy Policy, and AML/KYC Policy.
