Linearsend Inc. · Revve · Effective September 2026 · Applies to funding of subscriptions for the DPRP Offer via the Revve platform
These Terms apply when you use Revve to fund a subscription for ordinary shares in Dangote Petroleum Refinery and Petrochemicals FZE ("DPRP"), offered under the Prospectus dated 7 September 2026 (the "Offer"). By proceeding, you agree to these Terms, Revve's general Terms of Service, and the official Prospectus.
Revve (Linearsend Inc.) is a licensed payments platform. Revve is not a stockbroker, investment adviser, or seller of the Offer Shares, and does not recommend or advise on this or any investment. Revve's role is limited to securely converting and transmitting your funds, in your chosen currency, to the designated Receiving Bank account for collection of Application Monies under the DPRP Offer, in accordance with the Prospectus. Your investment relationship for the Offer is with DPRP, its Issuing Houses, and the stockbroker, Edgefield Capital Management Limited, not with Revve.
You must be 18 or older, have completed Revve KYC, and meet the eligibility requirements set out in the Prospectus for your investor category (e.g. Non-Resident Nigerian or Eligible African Investor). You may be asked to provide a BVN, NIN or other information required by DPRP's Registrars or Issuing Houses to process your Application.
Per the Prospectus: offer price ₦525 per share; minimum subscription 10 shares (₦5,250) and multiples of 10 thereafter; payable in full on application. Application List opens 14 September 2026 and closes 13 October 2026, subject to change by the Issuer and Issuing Houses without notice.
You transfer funds via the Revve app in CAD, USD, GBP, EUR, or another supported currency. Revve converts and remits these funds to the designated Receiving Bank account for collection of Application Monies under the DPRP Offer. Your subscription is only complete once the Receiving Bank confirms receipt of funds and your Application is submitted before the Closing Date. Revve is not responsible for Applications not submitted in time.
Investing in shares carries risk, including the risk of partial or total loss. Share prices can fall as well as rise, and no return is guaranteed. In the event of oversubscription, your Application may be scaled back. You confirm you have read, or will read, the full Prospectus, including the Risk Factors (pages 134–155), before proceeding.
Revve may charge a transfer or foreign exchange fee, disclosed to you at the time of transaction. Edgefield Capital Management Limited and the Issuing Houses may charge separate fees under their own terms, which are not controlled by Revve.
If your Application is rejected, scaled back, or the Offer is oversubscribed, surplus or rejected Application Monies will be returned according to the Prospectus timetable, via the Registrars, to your designated bank account as indicated during the application. Refund timing is outside Revve's control. Revve's own transfer fees, where charged, are non-refundable.
Nothing provided by Revve constitutes investment, legal, or tax advice. You are solely responsible for your investment decision and are encouraged to consult a licensed financial adviser before subscribing.
To process your Application, your information may be shared with Edgefield Capital Management Limited, the Registrars, and other parties involved in the Offer, in accordance with Revve's Privacy Policy and applicable data protection law.
Revve is not liable for investment losses, delays, errors, or actions of Edgefield Capital Management Limited, DPRP, the Registrars, the Issuing Houses, or the NGX. Revve's liability is limited to the accurate and timely transfer of funds you have authorised through the Revve platform.
Revve may update these Terms from time to time. Continued use of the Revve platform for this Offer after notice of a change constitutes your acceptance of the updated Terms.
These Terms, as they relate to Revve's funding service, are governed by the laws of the Province of Ontario, Canada. The Offer itself, including your shareholding and rights as an investor, is governed by the laws of the Federal Republic of Nigeria and the Investments and Securities Act, 2025, as set out in the Prospectus.
